Welcome to SolonAI Inc. ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the SolonAI Inc. platform, including our website, GrantAi memory system, and all related services, features, and content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

SolonAI Inc. provides AI-powered tools including:

• GrantAi — persistent memory for AI assistants
• Legal research and regulatory compliance analysis
• Document analysis and processing
• AI orchestration and agent tools

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Uses

You agree NOT to:

• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated systems (bots, scrapers) except through authorized APIs
• Circumvent any security features or access controls
• Upload malicious code, viruses, or harmful content
• Share your account credentials with unauthorized users
• Use the Service in any manner that could damage or impair our infrastructure
• Resell, sublicense, or redistribute access without written permission

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

GrantAi stores your data with SHA-256 sealed records and timestamps. You retain ownership of your data and can request deletion at any time.

6.1 Service Ownership

The Service, including all software, algorithms, designs, and content (excluding user-provided content), is owned by SolonAI Inc. and protected by intellectual property laws.

6.2 User Content

You retain all ownership rights to content you provide. By using the Service, you grant us a limited license to process your content solely to provide the Service.

7.1 Subscription Fees

Access to premium features requires payment of subscription fees as specified in your selected plan.

7.2 Billing

• Subscriptions are billed monthly or annually
• Automatic renewal unless cancelled
• Price changes with 30 days' advance notice

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLON AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.1 Termination by You

You may terminate your account at any time. See our Cancellation Policy for details.

10.2 Termination by Us

We may suspend or terminate access if you violate these Terms or for any reason with 30 days' notice.

11.1 Governing Law

These Terms are governed by the laws of the State of New Jersey.

11.2 Arbitration

Disputes shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.
